Terms of Service

1.Acceptance of Terms

By registering, logging in, or interacting with the AgentX platform, CLI tools, or web services, you enter into a legally binding agreement with TeamX. If you do not agree with any provision specified inside these Terms of Service, you must immediately cease all platform usage.

2.Description of Service

AgentX is an AI-powered software construction and orchestration workspace. It allows developers to configure environment structures, generate frontend and backend files through plain text inputs, sync to remote GitHub systems, and host built code on edge serverless hosting.

3.User Accounts

To access full workspace features, you must maintain a registered user account:

  • Account Security: You are solely responsible for protecting workspace credentials, database keys, and connected API access tokens.
  • Account Accuracy: You agree to supply current, complete, and authentic information during registration.
  • Eligibility: You must possess full legal capacity to enter into contract agreements. Platforms may not be utilized by individuals under 13.

4.Acceptable Use

You agree to utilize AgentX in compliance with legal limits and software ethics. The following actions are strictly prohibited:

  • Generating malicious software, spam scripts, phish portals, or systems engineered to cause platform disruption.
  • Subjecting generation inputs to malicious prompt-injection techniques or crawling platform models for replication.
  • Hosting copyrighted digital material, offensive media, or unlicensed databases on our auto-scaling cloud platform.
  • Exceeding your subscription tier quotas through manual API scraping or unauthorized bot-based automation.

5.Intellectual Property

To encourage rapid commercialization, we establish clear intellectual property separations:

  • Your Content: You retain absolute ownership over all prompt instructions, connected databases, and the generated source code created inside your AgentX workspace.
  • Platform IP: All right, title, and interest in and to our proprietary generation engines, the visual design workspace, orchestrator CLI binaries, and logo brands remain exclusively with TeamX.

6.Payment Terms

Certain platform tiers require paid subscriptions. By upgrading your workspace, you agree to our financial policy:

  • Billing: Fees are invoiced automatically on a recurring monthly or annual billing cycle utilizing secure checkout methods.
  • Plan Changes: Upgrades, downgrades, or workspace expansion apply immediately, with fees prorated systematically.
  • Refunds: Unless explicitly determined by our billing team, payments are non-refundable after successful transaction clearance.

7.Service Availability

We aim for premium reliability, targeting a 99.9% uptime standard for edge deployments. However, TeamX reserves the right to suspend or restrict platform elements for critical security upgrades, regular environment maintenance, or model fine-tuning with reasonable prior notice.

8.Limitation of Liability

AGENTX IS SUPPLIED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAMX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL LOSSES, REVENUE DROPS, REPOSITORY DATA CORRUPTION, OR THE LOSS OF ACTIVE ENVIRONMENT UPTIME.

9.Termination

We reserve the right to temporarily restrict or permanently terminate workspace access immediately if we detect clear violations of acceptable platform use, pending further legal audit. Upon account closure, all associated deployment nodes will spin down and stored assets will be purged.

10.Governing Law

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal disputes arising from these Terms will be settled in state or federal courts located in San Francisco, California.
